Terms of Service

1. Acceptance of Terms

By accessing or using ClientFlow ("the Service"), operated by Cherub Solutions LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

ClientFlow is a software-as-a-service platform designed for financial advisory firms to manage client onboarding, service requests, compliance workflows, and related operations.

3. Accounts and Access

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately if you suspect unauthorized access.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Reverse-engineer, decompile, or disassemble any part of the Service
• Transmit malware, viruses, or any code of a destructive nature

5. Data Ownership

You retain ownership of all data you submit to the Service ("Your Data"). We do not claim ownership of Your Data. You grant us a limited license to process Your Data solely to provide and improve the Service.

6. Subscription and Payment

Access to the Service requires a paid subscription. Fees are billed in advance on a recurring basis. You authorize us to charge the payment method on file. Failure to pay may result in suspension or termination of access.

7. Termination

Either party may terminate this agreement at any time. Upon termination, your right to access the Service ceases immediately. We will make Your Data available for export for thirty (30) days following termination, after which it may be deleted.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not provide financial, legal, or compliance advice.

9. Limitation of Liability

To the maximum extent permitted by law, Cherub Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Service. Our total liability shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Cherub Solutions LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Modifications

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
